Notice on the Selection and Appointment of the Audit Firm for 2026
In accordance with the Measures for the Selection and Engagement of Accounting Firms by State-Owned Enterprises and Listed Companies (Cai Kuai [2023] No. 4) and other relevant regulations, WCON Electronics Co., Ltd. (Stock Abbreviation: WCON Electronics, Stock Code: 301328, hereinafter referred to as the “Company”) intends to select an accounting firm to provide audit services for the 2026 fiscal year through competitive negotiation. The Company hereby announces the following matters relating to the selection and engagement process.
I. Scope of Services
(1) Issue an annual audit report for the Company in accordance with its requirements.
(2) Conduct an annual internal control audit for the Company and issue an internal control audit report.
(3) Issue a special audit statement on funds occupied by the controlling shareholder and other related parties (if applicable).
(4) Issue a special audit report on the deposit and utilization of raised funds.
(5) Issue other relevant audit statements, verification opinions, and attestation reports required by regulatory authorities to be prepared by the annual audit firm.
(6) Provide financial consulting services for the Company’s daily accounting operations and other services as required.
II. Qualification Requirements for Candidate Firms
(1) The candidate firm shall have independent legal personality and the capacity to perform the contract. It shall hold professional qualifications recognized by the relevant industry regulators and have been in practice for at least three years. For firms transitioning from a limited liability structure to a special general partnership or general partnership, the period of operation prior to the transition shall be counted toward this requirement.
(2) The candidate firm shall have a fixed place of business, a sound organizational structure, and well-established internal management and control systems that are effectively implemented. It shall have passed annual inspections (including re-inspections) for the past three years, or have been confirmed as compliant by industry regulators after rectification. It shall have performed at least one audit engagement for a listed company during the past three years (from January 1, 2023 to the present), and shall not have received any criminal penalties for professional misconduct during such period.
(3) The proposed engagement partner shall hold a valid Certified Public Accountant (CPA) license and have at least five years of experience as a lead auditor in financial audits of listed companies. Relevant performance documentation for the engagement partner shall be provided. At least five members of the proposed audit team shall have at least three years of experience in auditing listed companies. The proposed engagement partner and all team members shall be regular employees of the candidate firm, within their contract period, and available for the full duration of this engagement. None of the above individuals shall have any record of criminal offenses involving bribery or corruption.
(4) The candidate firm shall have a good track record of professional quality and complete audit tasks on time and to a high standard. It shall have no history of significant audit quality issues or adverse records, and shall possess the capability to assume corresponding audit risks.
(5) The candidate firm shall have a good record of professional ethics and a positive reputation, and shall strictly comply with applicable laws, regulations, and policies governing audit and assurance services.
(6) The candidate firm shall be capable of safeguarding the client’s trade secrets and protecting national financial information security.
III. Registration Requirements for Candidate Firms
(1) Documents to Be Submitted
1. A power of attorney from the legal representative authorizing participation in this competitive negotiation, along with a photocopy of the authorized representative’s valid identification. If the candidate firm is a branch, a power of attorney from the head office specifically authorizing participation in this engagement shall also be provided.
2. A photocopy of the valid business license. If the candidate firm is a branch, both the head office and the branch shall submit their respective business licenses.
3. A valid accounting firm practice certificate issued by a provincial-level or above competent finance department, along with documentation confirming authorization to engage in securities and futures-related services and the filing record with the securities regulatory authority under the State Council and the relevant competent department under the State Council.
4. A declaration stating that the candidate firm had no significant audit quality issues or adverse records in its audit work during the period from 2023 to 2025, and that it had no major violations of laws or regulations during such period.
5. A list of the proposed audit team members for this engagement, along with resumes and photocopies of personal qualification certificates for the engagement partner, the signing accountants, and other key personnel.
6. Supporting documentation of relevant audit experience, which shall clearly reflect the name of the candidate firm and the names of the engagement partner and signing accountants. Such documentation may include, but is not limited to, audit engagement letters and key pages of audit reports.
7. A quotation for the audit services to be provided.
8. Any other documents demonstrating compliance with the qualification requirements.
9. All materials listed above shall be stamped with the candidate firm’s official seal individually. If a document consists of multiple pages, the official seal may be affixed on the first page, with a cross-page seal applied to the entire document.
(2) Registration Method
Candidate accounting firms participating in the competitive negotiation shall submit electronic versions of the required materials (scanned copies with official seals) to the following email address by 5:00 p.m. on April 7, 2026: cwdg@wcon.com

(3) Competitive Negotiation Schedule
The Company will send invitations to candidate firms that pass the preliminary review on April 8, 2026. Firms receiving invitations are requested to bring the original documents to the Company for an on-site meeting at the scheduled time.
